These Terms of Use ("Terms") govern your access to or use of applications, websites, content, products, and services (the "Services") provided by DICE, a mobile transportation service platform established in Nigeria to meet the needs of users. We emphasize your safety and take precautions to ensure that you have a quality experience. DICE mobile applications or websites, on the other hand, allow users to use the technology platform to arrange and schedule transportation, logistics services, and/or food delivery, and package delivery services with independent third-party providers who have an agreement with DICE or its affiliates.

The Services

Except otherwise authorized by DICE in a separate written agreement with you, the services are provided purely for your personal, non-commercial use. YOU ACKNOWLEDGE THAT DICE DOES NOT PROVIDE TRANSPORTATION, LOGISTICS, FOOD DELIVERY, OR PACKAGE DELIVERY SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER, AND THAT ALL SUCH SERVICES ARE PROVIDED BY INDEPENDENT THIRD PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY DICE OR ANY OF ITS AFFILIATES.

These terms and conditions ("Agreement") govern your use of the dice.com.ng website ("Website"), "DICE" mobile application ("Mobile Application"), and any connected products and services (collectively, "Services"). This agreement is legally binding between you ("User", "you", or "your") and DICE ("DICE", "we", "us", or "our"). By accessing and using the Services, you confirm that you have read, understood, and agree to be bound by this Agreement.

If you are engaging into this Agreement on behalf of a business or other legal entity, you represent that you have the capacity to bind that entity to this Agreement; in that instance, the terms "User," "you," or "your" will relate to such entity. If you do not have such authority, or if you do not agree to the provisions of this Agreement, you must not accept it and may not use the Services. You acknowledge that this Agreement constitutes a contract between you and DICE, despite the fact that it is electronic and not physically signed by you, and that it regulates your use of the Service.

Accounts and Membership

You must be at least eighteen (18) years old to use the services, or, if that is less than eighteen, the age of legal majority in your jurisdiction, in order to open an account. Account registration necessitates the submission of critical personal information to DICE, such as your name, email address, mobile phone number, age, and a legitimate payment method (such as debit/credit card, cash, or another recognized payment option).
 
You agree that the information in your Account should be correct, comprehensive, and up to date. Your failure to keep correct, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access and use the Services, or DICE's termination of these Terms with you.

You guarantee and signify that you are at least eighteen years old by using the Services and by accepting this Agreement. If you create an account on the Services, you are responsible for keeping your account username and password secure and secret at all times, you agree to keep accurate, complete, and up-to-date account information in your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. You may only have one account, unless DICE expressly allows otherwise.

In addition, failure to maintain correct, complete, and up-to-date account information, such as having an invalid or expired payment method on file or giving false contact information of any sort, may result in your inability to access and use the services or DICE termination of your account.

Individuals under the age of 18 are not permitted to use the Service. You should not allow third parties to use your Account, and you may not allow people under the age of 18 to receive transportation or logistics services from Third Party Providers unless they are accompanied by you. You may not assign or transfer your Account to anybody else.
 
Furthermore, by using the Services, you undertake to follow all applicable laws and may only use them for legitimate reasons. You will not use the Services in a way that causes irritation, inconvenience, or property damage to the Third Party Provider or any other party. In certain cases, you may be required to produce proof of identity in order to access or use the Services, and you agree that if you refuse to submit proof of identity, you may be denied access to or use of the Services.

Opt-out Messaging

When you create an account, you accept that the services may send you text messages (SMS) as part of the normal business routine for using the services. You can unsubscribe from receiving text messages (SMS) from DICE at any time by visiting https://www.dice.com.ng/unsubscribe/ . You understand that opting out of receiving text messages may have an impact on your use of our services.
 
We may monitor and review new accounts before you sign in and begin using our services. You must promptly alert us of any unauthorized uses of your account or other security breaches. We shall not be liable for any of your actions or omissions, including any damages suffered as a result of such actions or omissions.
 
If we believe you have violated any provision of this Agreement or that your conduct or content will harm our reputation or goodwill, we may suspend, disable, or delete your account (or any portion of it). You are not permitted to re-register for our Services if we delete your account for any of the reasons listed above. If you try to register again, we might ban your IP address and email address.

Promotional Campaign

DICE reserves the right to generate promotional codes that can be redeemed for account credit or other relevant features or benefits to the Services and/or a Third Party Provider's services, subject to any additional terms that DICE imposes on a per promotional code basis.
 
You agree to abide to the Promo Codes: (1) it must be used for the intended audience and purpose, in a lawful manner; (2) no replication, sale, or transfer in any fashion, or made available to the general public (either placed on a public form or otherwise), unless expressly permitted by DICE; (3) may be disabled by DICE at any time for any cause without DICE's liability; (4) may only be utilized pursuant to the precise terms established by DICE for such Promo Code; (5) Not applicable for cash transactions; and (6) the promo code may expire prior to your use. DICE reserves the right to withhold or deduct credits or other features or benefits obtained by you or any other user through the use of Promo Codes if DICE determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.

Network Access and Devices

You are responsible for getting data network access and enough data credit to utilize the Services. If you access or use the Services via a wireless-enabled device, your cell network's data and messaging rates and costs may apply, for which you are solely liable. You are solely responsible for obtaining and updating compatible hardware or devices required to access and use the Services and Applications, as well as any changes to them. DICE does not guarantee that the Services, or any element of them, will work on any specific system or device. Additionally, delays and faults common to using the Internet and electronic communications may affect the Services.

Adult Content

Individuals under the age of 18 or those who are prohibited from accessing mature or adult content under the laws of any applicable jurisdiction may not access such content. If we learn that anybody under the age of 18 wishes to execute a transaction using the Services, we will demand verifiable parental consent in accordance with the Children's Online Privacy Protection Act of 1998 ("COPPA"). Certain portions of the Services may not be available to children under the age of 18 in any circumstances.

Billing and Payments

The user can choose whether to pay with cash, debit/credit card, or mobile wallet when using the DICE app. Once a payment option has been chosen, the user may change it as desired. You must pay all fees and charges to your account in accordance with the fees, charges, and billing conditions in place at the time they are due and payable. When you pay the charges in this way, it will be regarded as though you have paid the Third Party Provider directly. Other applicable fees, tolls, and/or surcharges, such as a booking fee, municipal, provincial, and national tolls, airport surcharges, and processing fees for carpool payments, may also be included in the charges. Where required by law, the prices will also include applicable taxes. Unless otherwise determined by DICE, all charges paid by you are final and non-refundable.

Between you and DICE, DICE reserves the right to establish, remove, and/or adjust charges for any or all services or items obtained through the use of the Services at any time in its sole discretion. As a result, you understand and accept that charges in specific geographic locations may rise significantly during periods of high demand. DICE will make reasonable steps to notify you of any charges that may apply; however, you will be liable for charges incurred under your Account charges, regardless of whether you are aware of such charges or their amounts.
 
DICE may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar products or services obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, have no bearing on your use of the Services or the Charges applied to you. You may cancel your request for services or products from a Third Party Provider at any time before the Third Party Provider arrives, but you may be charged a cancellation fee.

Repairs or Cleaning Fees

You shall bear the cost of repair for any damage to Third Party Provider vehicles and property, or necessary cleaning thereof, arising from your use of the services under your Account that exceeds normal "wear and tear" damages and cleaning, such as vomiting, littering the vehicle, or food staining ("Repair or Cleaning").

If a third-party provider submits a request for repair or cleaning, and DICE verifies the request at its sole discretion, DICE reserves the right to facilitate payment for the reasonable cost of such repair or cleaning on behalf of the third-party provider using the payment method designated in your account.

Accuracy of Information

On occasion, inaccurate, partial, or missing information concerning promotions and offers may be presented on the services owing to typographical errors. If any information about the services is incorrect, we reserve the right to correct any errors, inaccuracies, or omissions; to change or update information; or to cancel bookings if any information is inaccurate (even if you have completed your booking). We disclaim any responsibility to update, amend, or clarify any information on the services, including but not limited to pricing information, unless required by law. There should not be a set update or refresh date associated with the services in order to demonstrate that all information has changed or been updated.

Uptime Guarantee

We provide a monthly service uptime guarantee of 99% of all available time. If we fail to satisfy our service uptime guarantee (as totally stated by us), you may contact us and request a credit off your service charge for that month. The credit is not subject to any applicable taxes and can only be used to purchase future products and services from us. The service uptime guarantee excludes the following situations: (1) outages that do not effect core service performance; (2) disruptions caused by you or your activity; and (3) circumstances beyond our control or that are not reasonably anticipated; (4) power disruptions. Regular planned maintenance or repairs; (5) unreliability of specific programming environments; (6) unavailability of appropriate data credit; and (7) network service provider disruptions.

Advertisements

You may communicate with advertisers or sponsors promoting their products or services through the services, or you may participate in promotions for these businesses while using the services. Any such activity and any terms, conditions, warranties, or representations associated thereto are solely between you and the relevant third party. We will not be liable, obliged, or responsible for any such contact, purchase, or promotion between you and such third party.

Links to other resources

If the Services contain connections to other resources (websites, mobile applications, etc.), we do not imply our approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated differently. We do not assess, evaluate, or warranty any companies or person's products or services, or the information contained in their resources. We disclaim all obligation and liability for any other third party's actions, products, services, or content. Every resource that you access via a link on the Services contains legal declarations and other terms of service that you should read carefully. Linking to other off-site materials is entirely up to you.

Prohibited Uses

In addition to the other limitations contained in the agreement, you may not use the Services or Content for any unlawful purpose. The following are prohibited: (a) inciting others to commit crimes; (b) breaking any international, national, provincial, or local laws, rules, or ordinances; (c) infringing upon or violating our or others' intellectual property rights; (d) intimidating, harassing, dehumanizing, threatening, or discriminating against someone based on their sexual orientation, gender, cultural background, race, age, national origin, or handicap; (e) supplying inaccurate or misleading information; (f) uploading or transmitting viruses or any other malicious code that could impair the functionality or operation of the services, third-party products and services, or the Internet; (g) spamming, phishing, pharming, pretexting, spidering, crawling, or scraping; (h) engaging in any kind of pornographic or immoral activity; or (i) tampering with or circumventing security measures on the services, third-party products and services, or the Internet. We retain the right to terminate your usage of the services if you use them in a way that violates any of the banned uses.

Intellectual Property Rights

The term "Intellectual Property Rights" refers to all current and future rights granted by statute, common law, or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the ability to sue for passing off, rights to inventions, rights to use, and any other intellectual property rights, whether or not registered. This includes all applications, the right to apply for and be granted, the right to claim priority over other people's rights, and any other rights or forms of protection that exist or will exist in the future as a result of intellectual work in any location in the world.

This Agreement does not transfer to you any rights, titles, or interests in or to any intellectual property owned by DICE or third parties. The trademarks, service marks, images, and logos used in connection with the Services are all registered or trademarks of DICE or its affiliates. Other trademarks, service marks, images, and logos associated with the Services may represent the trademarks of third parties. By using the Services, you are not granted any rights or licenses to reproduce or utilize any DICE or third-party trademarks.

Disclaimer of Warranty

You understand that the services are provided "as is" and "as available," and that you use them at your own risk. We expressly disclaim several claims, including the implied warranty of merchantability, fitness for a particular purpose, and non-infringement. We cannot guarantee that the services will meet your requirements or will be timely, secure, error-free, or continuous. We also do not guarantee that utilizing the service will result in the desired results, that the information obtained will be accurate or reliable, or that any flaws will be corrected.
 
As a service user, you understand and accept that downloading any content and/or data is done at your own risk and discretion, and that you will be completely liable for any data loss or damage arising from such download. We make no warranties on any products or services bought through the site, or any transactions completed using the service, unless otherwise noted. No written or spoken advice or information you obtain from us or through the service will create any warranties not expressly mentioned above.

Limitation of Liability

To the greatest extent permitted by applicable law, DICE, its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not in any case be liable to any person for any consequential, cover, punitive, indirect, or incidental damages (including, but not limited to, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, or loss of business opportunity), however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence, or otherwise...).

In relation to the services, DICE and its affiliates, officers, employees, agents, suppliers, and licensors will only be liable to the extent permitted by applicable law, which will not exceed one dollar or the amount you actually paid DICE in cash for the month before the first event or occurrence giving rise to such liability. The limits and exclusions apply if this remedy fails to meet its essential purpose or does not completely compensate you for any damages.
DICE shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage relating to, connected with, or otherwise resulting from any use of the services, even if DICE has been advised of the possibility of such damages: (i) your dependence on or use of the services, or your incapacity to access or make use of them; (ii) any interactions or transactions you may have with third-party vendors. DICE is not liable for delays or non-performance caused by situations beyond its reasonable control.

You acknowledge that third-party transportation providers may provide ridesharing or peer-to-peer transportation services but may lack the requisite professional licenses or authorization when offering transportation services through specific request brands.

Indemnification

You understand and agree to hold DICE and its affiliates, directors, officers, employees, suppliers, and licensors harmless for any liabilities, losses, damages, or costs incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them due to or relating to your Content, your use of the Services, or any willful misconduct on your part, your breach or violation of any of these Terms, DICE's use of your user content, or any violation of the rights of any third party, including Third Party Providers.


Lost Property

When disembarking from a Third Party Provider's vehicle, you accept and agree that it is your obligation to ensure that your items are properly removed. Your possessions may be given to you, DICE, or the DICE local service agent if you leave them in a Third Party Provider's vehicle.

DICE and its local service agent will not be held accountable if Third Party Providers do not deliver your item to you, even though it is possible that you will expect them to. Furthermore, DICE and its local service provider shall not be liable for any damage or loss to your personal property while it is in transit.

You acknowledge and accept that, while property is under the control of DICE or a local service representative:

  • DICE or its local service representative will only hold your property in its custody for a maximum of two months from the date that the Third Party Provider turned it over to DICE or its local service representative;
  • If you do not collect your property from DICE or its local service representative within the two-month time frame specified. You will have no legal recourse against DICE or its local service agent in relation to your unclaimed property, and DICE or its representative may treat your property as they see fit.

Severability

The rights and limits granted by this Agreement may be exercised only to the extent that they do not violate any applicable laws. They are also intended to be limited to the minimum extent essential to keep this Agreement from becoming illegal, void, or unenforceable. The parties intend that the remaining provisions or portions thereof constitute their agreement with respect to the subject matter hereof, and that all such remaining provisions or portions thereof remain in full force and effect if any provision or portion of any provision of this Agreement is found to be illegal, invalid, or unenforceable by a court of competent jurisdiction.

Governing Law

This terms and conditions are controlled by Nigerian law, with no respect for conflict of laws. You agree to the courts' exclusive jurisdiction in connection with any action or dispute occurring between the parties under or in connection with these Terms and Conditions, with the exception of individuals who may have rights to make claims under the Terms Shield.

This Agreement and your use of the Website and Applications will be governed by Nigerian laws, excluding any conflict of law provisions. There may be other local, state, federal, or international regulations that apply to your use of this website.

You agree to these terms and conditions by using DICE or getting in touch with us directly. If you do not agree to our terms of service, you should not use our Website, Applications, or Services. Continued use of the Website and Applications, direct communication with us, or the publishing of charges to this Terms and Conditions that have no major impact on the use or disclosure of your personal information will imply that you accept the changes.

Dispute Resolution

This Agreement's formation, interpretation, and performance, as well as any issues resulting from it, shall be governed by Nigerian substantive and procedural laws, without regard to its rules on conflicts or choice of law, and, to the extent applicable, Nigerian laws.
The courts in Nigeria will have exclusive jurisdiction and venue for matters involving the subject matter hereof, and you hereby submit to their personal jurisdiction. You hereby waive any right to a jury trial in any case arising from or connected to this Agreement. This Agreement does not fall under the United Nations Convention on Contracts for the International Sale of Goods.

Cookies for Advertising

These cookies collect data about your online activity on the website and other online services over time in order to make online advertisements more relevant and effective for you. This is known as interest-based marketing. They also prevent the same ad from showing repeatedly and ensure that advertisers' ads are properly shown. Advertisers find it extremely difficult to connect with their target audience and to track the number of clicks and ad impressions they receive without cookies.

Cookies

DICE uses "cookies" to keep track of the pages of our website that you visit. A cookie is a small piece of information that your web browser saves to your computer or mobile device. Cookies, while not required for use, make our website run and perform more effectively. Nonetheless, without these cookies, you may have to enter your login information each time you visit the website since you will not be able to remember that you previously logged in, or certain functionality, such as video, may not function properly. Most web browsers allow you to disable cookies. However, if you disable cookies, you may not be able to use certain parts of our website correctly or at all.

Blocking and Disabling cookies and similar technologies

You can also configure your browser to reject cookies and other similar applications, regardless of where you are. However, doing so may cause our critical cookies to fail, preventing you from utilizing all of the features and services on our website and preventing it from running properly.
 
It is critical to understand that deactivating cookies in your browser may result in the loss of certain stored information, such as login credentials and website preferences. You can access various controls using different browsers. For further information, check your browser's help menu. You must still manually erase a cookie or group of cookies from your browser; deactivating them will not do it for you.

Placing advertisements on the websites and platforms that people visit most frequently promotes the appearance that your company is "following" them around the internet.
 
Tracking Technologies

The Google Maps API is a useful tool for doing a range of activities, like generating a custom map, making it searchable, adding check-in capabilities, displaying real-time data that syncs with location, planning routes, and producing blunders. The Google Maps API may collect information about you and your device for security purposes while respecting your privacy.

Assignment

This agreement prohibits any attempt to assign, resell, sublicense, or otherwise transfer or delegate any rights or responsibilities, in whole or in part, without our prior written authorization, which may be withheld at our sole discretion. In the case of a merger or the sale of all or virtually all of its stock or assets, we reserve the right to transfer any rights or obligations under this agreement to any third party, in whole or in part.

Changes to Our Terms and Conditions

We may need to update our service and policies to ensure that the Terms and Conditions accurately represent them. We shall notify you in advance of any changes to these Terms, unless required by law, so that you may examine them before they become effective (such as through our service). If you continue to use the service, you will be subject to the revised Terms. If you do not agree to these revised Terms, you may cancel your account.

Third Party Services

We may incorporate, make available, or display third-party material (such as data, information, apps, and other products and services). We may also provide links to other websites or services.

You agree and acknowledge that DICE is not liable for any part of any Third-Party service, including its timeliness, accuracy, completeness, validity, compliance with copyright, legality, decency, or quality, by utilizing it. DICE has no obligation or duty for any services offered by third parties to you or any other individual or business. You access and use third-party services and links at your own risk, in compliance with their terms and conditions. We only offer this for your convenience.

Copyright Infringement

Claims of copyright infringement should be submitted to DICE at info@dice.com.ng.

Facebook Pixel

The Facebook pixel is an analytics tool that allows you to assess the efficacy of your advertising by tracking the actions users do on your website. You can utilize the pixel to ensure that your adverts are seen by the right individuals. When you use the service, the Facebook Pixel may gather information from your device. The Facebook pixel collects information in accordance with its Privacy Policy.

Changes and Amendments

We reserve the right to amend any section of this Agreement or the rules that apply to the Services at any time by publishing an updated version of this Agreement on the Site. When we do, we will post a notification on the Services. Your continued use of the Services following any such modifications will be interpreted as your acceptance of the changes.

Acceptance of these terms

By accepting all of the terms and conditions indicated here, you acknowledge that you have read this agreement. By accessing and using the Services, you consent to being bound by this Agreement. You are not able to access or use the Services if you do not agree to the terms.
