Terms and Conditions
These Terms of Use (“Terms”) govern the access or use by you, an individual, within Nigeria of applications, websites, content, products, and services (the “Services”) made available by DICE (RC:1541433) established in Abuja, Nigeria as a mobile transportation service platform that offers differentiated transportation services to meet the needs of local Nigerian users. We prioritize your safety and take measures to give you a quality experience guarantee. However, DICE mobile applications or websites enables users to utilize technology platform to arrange and schedule transportation, logistics services and/or food delivery, package delivery services with independent third party providers under agreement DICE or its affiliates (Third Party Providers). Except otherwise agreed by DICE in separate written agreement with you, the services are made available solely for your personal, non-commercial use. YOU ACKNOWLEGDE THAT DICE DOES NOT PROVIDE TRANSPORTATION, LOGISTICS, FOOD DELIVERY OR PACKAGE DELIVERY SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER AND THAT ALL SUCH SERVICES REFERENCED ARE RENDERED BY INDEPENDENT THIRD PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY DICE OR ANY OF ITS AFFILIATES.
These terms and conditions ("Agreement") set forth the general terms and conditions of your use of the dice.com.ng website ("Website"), "DICE" mobile application ("Mobile Application") and any of their related products and services (collectively, "Services"). This Agreement is legally binding between you ("User", "you" or "your") and DICE ("DICE", "we", "us" or "our"). By accessing and using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "User", "you" or "your" shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Services. You acknowledge that this Agreement is a contract between you and DICE, even though it is electronic and is not physically signed by you, and it governs your use of the Services.
Accounts and membership
Eligibility to utilize the services require you must be at least 18 years of age to use the Services, or the age of legal majority in your jurisdiction (if different than 18), to obtain an Account. Account registration requires the user to submit to DICE vital personal information such as your name, physical address, mobile phone number, age and valid payment method (such as debit / credit card, cash or other accepted payment option). You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access and use the Services or DICE termination of these Terms with you. By using the Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Services, you are responsible for maintaining the security and secrecy of your account username and password at all times, agree to maintain accurate, complete, and up-to-date account information in your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. Except permitted by DICE in writing, you may only possess one account. Also, your failure to maintain accurate, complete, and up-to-date account information such as having invalid or expired payment method on file, providing false contact information of any kind can preempt your inability to access and use the services or DICE termination of your account.
The Service is not eligible for use by persons under the age of 18. You shouldn’t authorize third parties to use your Account, and you may not allow persons under the age of 18 to receive transportation or logistics services from Third Party Providers unless they are accompanied by you. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Provider or any other party. In certain instances you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.
Opt-out Messaging
The creation of account, you agree that the services may disseminate text messages (SMS) as part of the business procedure of your use of the services. You may opt-out of receiving text messages (SMS) from DICE at any time using the link https://www.dice.com.ng/unsubscribe/. You acknowledge that opting out of receiving text messages may impact your use of the services.
We may monitor and review new accounts before you may sign in and start using the Services. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.
Promotional Campaign
DICE have the veto to create promotional codes that may be redeemed for account credit, or related features or benefits to the Services and/or a Third Party Provider’s services, subject to any additional terms that DICE establishes on a per promotional code basis. You agree to adhere that Promo Codes: (1) must be used for the intended audience and purpose, and in a lawful manner; (2) no duplication, sell or transfer in any manner, or made available to the general public (either posted to a public form or otherwise), unless expressly authorized by DICE; (3) may be disabled by DICE at any time for any reason without liability to DICE; (4) may only be used pursuant to the specific terms that DICE establishes for such Promo Code; (5) not valid for cash transaction; and (6) the promo code may expire prior to your use. DICE reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that DICE determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.
Network Access and Devices.
You are responsible for obtaining the data network access and sufficient data credit necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. DICE does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
Adult content
Please be aware that there may be certain adult or mature content available on the Services. A warning will be shown to the User prior to adult content being displayed. Where there is mature or adult content, individuals who are less than 18 years of age or are not permitted to access such content under the laws of any applicable jurisdiction may not access such content. If we learn that anyone under the age of 18 seeks to conduct a transaction through the Services, we will require verified parental consent, in accordance with the Children's Online Privacy Protection Act of 1998 ("COPPA"). Certain areas of the Services may not be available to children under 18 under any circumstances.
Billing and payments
To facilitate payment while using the DICE app, the user can decide if he/she prefers to make payment using cash, debit/credit card or mobile wallet. Once a specific payment option has been selected, the user cannot modify it. You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Payment of the Charges in such manner shall be considered the same as payment made directly by you to the Third Party Provider. Charges may include other applicable fees, tolls, and/or surcharges including a booking fee, national, provincial and municipal tolls, airport surcharges and processing fees for split payments, and will be inclusive of applicable taxes where required by law. Charges paid by you are final and non-refundable, unless otherwise determined by DICE.
Sensitive and private data exchange happens over a SSL secured communication channel and is encrypted and protected with digital signatures, and the Services are also in compliance with PCI vulnerability standards in order to create as secure of an environment as possible for Users. Scans for malware are performed on a regular basis for additional security and protection. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
As between you and DICE, DICE reserves the right to establish, remove and/or revise Charges for any or all services or goods obtained through the use of the Services at any time in DICE’s sole discretion. Further, you acknowledge and agree that Charges applicable in certain geographical areas may increase substantially during times of high demand. DICE will use reasonable efforts to inform you of Charges that may apply, provided that you will be responsible for Charges incurred under your Account regardless of your awareness of such Charges or the amounts thereof. DICE may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may elect to cancel your request for services or goods from a Third Party Provider at any time prior to such Third Party Provider’s arrival, in which case you may be charged a cancellation fee.
Repairs or Cleaning Fees
You shall be responsible for the cost of repair for damage to, or necessary cleaning of, Third Party Provider vehicles and property resulting from use of the Services under your Account in excess of normal “wear and tear” damages and necessary cleaning such as vomiting, littering the vehicle, stain of food (“Repair or Cleaning”). In the event that a Third Party Provider reports the need for Repair or Cleaning, and such Repair or Cleaning request is verified by DICE in DICE’s reasonable discretion, DICE reserves the right to facilitate payment for the reasonable cost of such Repair or Cleaning on behalf of the Third Party Provider using your payment method designated in your Account. Such amounts will be transferred by DICE to the applicable Third Party Provider and are non-refundable.
Accuracy of information
Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions that may relate to promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Services or Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Services including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Services should be taken to indicate that all information on the Services or Services has been modified or updated.
Uptime guarantee
We offer a Service uptime guarantee of 99% of available time per month. If we fail to maintain this service uptime guarantee in a particular month (as solely determined by us), you may contact us and request a credit off your Service fee for that month. The credit may be used only for the purchase of further products and services from us, and is exclusive of any applicable taxes. The service uptime guarantee does not apply to service interruptions caused by: (1) periodic scheduled maintenance or repairs we may undertake from time to time; (2) interruptions caused by you or your activities; (3) outages that do not affect core Service functionality; (4) causes beyond our control or that are not reasonably foreseeable; and (5) outages related to the reliability of certain programming environments; (6) outages related to insufficient data credit; (7) downtime due to network service provider.
Advertisements
During your use of the Services, you may enter into correspondence with or participate in promotions of advertisers or sponsors showing their goods or services through the Services. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third party. We shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party.
Links to other resources
Although the Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link on the Services. Your linking to any other off-site resources is at your own risk.
Prohibited uses
In addition to other terms as set forth in the Agreement, you are prohibited from using the Services or Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Services for violating any of the prohibited uses.
Intellectual property rights
"Intellectual Property Rights" means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by DICE or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with DICE. All trademarks, service marks, graphics and logos used in connection with the Services, are trademarks or registered trademarks of DICE or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of DICE or third party trademarks.
Disclaimer of warranty
You agree that such Service is provided on an "as is" and "as available" basis and that your use of the Services is solely at your own risk. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Service is done at your own discretion and risk and that you will be solely responsible for any damage or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service unless stated otherwise. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly made herein.
Limitation of liability
To the fullest extent permitted by applicable law, in no event will DICE, its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of DICE and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to DICE for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.
DICE shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost data, personal injury or property damage related to, in connection with, or otherwise resulting from any use of the services, even if DICE has been advised of the possibility of such damages. DICE shall not be liable for any damages, liability or losses arising out of: (i) your use of or reliance on the services or your inability to access or use the services; or (ii) any transaction or relationship between you and any third party provider, even if DICE has been advised of the possibility of such damages. DICE shall not be liable for delay or failure in performance resulting from causes beyond DICE’s reasonable control. You acknowledge that third party transportation providers providing transportation services requested through some request brands may offer ridesharing or peer-to-peer transportation services and may not be professionally licensed or permitted.
Indemnification
You agree to indemnify and hold DICE and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Services or any willful misconduct on your part, your breach or violation of any of these Terms, DICE use of your user content or violation of the right of any third party including Third Party Providers.
Lost Property
You understand and agree that it is your responsibility to ensure that you remove your property from the vehicle of a Third Party Provider when disembarking. Should you leave your property in the vehicle of a Third Party Provider, the Third Party Provider may hand over your property to you, DICE or to the DICE local service representative.
Whilst you may expect Third Party Providers to hand over your property to you, the offices of DICE or the DICE local service representative, DICE or the DICE local service representative shall not be held liable in the event of the Third Party Provider not handing over your property as expected. Moreover, DICE or the DICE local service entity shall not be liable for the loss or damage to your property whilst it is in transit.
Whilst DICE or the DICE local service representative will take reasonable steps to establish the owner of property left in a Third Party Provider’s vehicle if returned to the offices of DICE or the DICE local service entity, when your property is in DICE or the DICE local service representative possession, you understand and agree that: (i) DICE or the DICE local service representative will only keep your property in its possession for a maximum period of three months from the date on which the Third Party Provider handed your property to DICE or the DICE local service representative; and (ii) should you fail to collect your property from DICE or the DICE local service representative before the expiry of the three month period stipulated, DICE or the DICE local service representative will be entitled to deal with your property as it deems fit and you shall have no claim whatsoever against DICE or the DICE local service representative in respect of your unclaimed property.
Severability
All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
Governing Law
This terms and condition is governed by the laws of Nigeria without regards to its conflict of laws provision. You consent to the exclusive jurisdiction of the courts in connection with any action or dispute arising between the parties under or in connection with this Privacy Policy except for those individuals who may have rights to made claims under Privacy shield.
The laws of Nigeria excluding its conflicts of law rules, shall govern this Agreement and your use of the website. Your use of the website may also be subject to other local, State, national or international laws.
By using DICE or contacting us directly, you signify your acceptance of this Privacy Policy. If you do not agree to this Privacy Policy, you should not engage with our website, or use our services. Continued use of the website, direct engagement with us or following the posting of charges to this Privacy Policy that do not significantly affect the use or disclosure of your personal information will mean that you accept those changes.
Dispute resolution
The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Nigeria without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Nigeria. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Nigeria, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Google Maps API may collect information from you and from your device for security purpose. Google Maps API collects information that is held in accordance with its privacy policy.
Assignment
You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.
Changes to Our Privacy Policy
We may change our Service and policies and we may need to make changes to this Privacy Policy so that they accurately reflect our service and policies. Unless otherwise required by law, we will notify you (such as through our service) before we make changes to this privacy policy and give you an opportunity to review them before they go into effect. Then, if you continue to use the service, you will be bound by the updated Privacy Policy. If you do not want to agree to this or any updated privacy policy, you can delete your account.
Third Party Services
We may display include or make available third-party content (including data, information, applications and other products services) or provide links to third-party websites or services.
You acknowledge and agree that DICE shall not be responsible for any Third-Party services including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality or any other aspect thereof. DICE does not assume and shall not have any liability or responsibility to you or any other person or entity for any Third-Party services.
Third-Party services and links thereto are provided thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties terms and conditions.
Facebook Pixel
Facebook pixel is an analytics tool that allows you to measure the effectiveness of your advertising by understanding the actions people take on your website. You can use the pixel to: Make sure your ads are shown to the right people. Facebook pixel may collect information from your device when you use the service. Facebook pixel collects information that is held in accordance with its Privacy Policy.
Changes and amendments
We reserve the right to modify this Agreement or its terms relating to the Services at any time, effective upon posting of an updated version of this Agreement on the Services. When we do, we will post a notification within the Services. Continued use of the Services after any such changes shall constitute your consent to such changes.
Acceptance of these terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Services.

Terms and Conditions for DICE Business
Drive Interested Customer Everywhere (trading as DICE) located at Abuja, Nigeria with RC: 1541433 is a mobile transportation service platform that offers differentiated transportation services to meet the needs of local Nigerian users.
DICE Business is the service for business partners and payment for the rides taken by the riders authorized by the management. This notice specifically applies to:
- Riders: individuals who request or receive transportation, including those who receive transportation requested by another individual
- Drivers: individuals who provide transportation to Riders individually or through partner transportation companies
- Administrator: an individual appointed by the partner to administer the Business account such as register and remove users, view and edit user information, user group and their rights
Set-up of Business Account
To facilitate using the DICE Business partner must sign-up for Business Account by providing requisite information in the Business portal.
Type of data DICE receives
We receive employee first names, last names, and company-issued email addresses. We may also receive expense codes and employee IDs if you opt to include that information. The partner/rider should abide and accept these Terms & Conditions authorized to bind partner to this agreement. The Business Account allows partner to register riders as users, which enables riders to utilize DICE Business as specified by the partner and DICE. However, the partner acknowledges and agrees that only riders that fulfill these criteria are eligible to use DICE Business as users:
- Rider has active personal DICE account
- Rider has confirmed their mobile number provided during the registration process
- Individual DICE account of the rider has not been blocked, suspended or terminated due to violation of DICE Terms and Conditions for riders
- To facilitate registration as a user, the partner should upload requisite information of rider to Business portal
- The rider invited to use DICE Business shall be linked automatically with Business Account for partner payments and be provided the option to settle fares either through rider’s personal account or partner’s Business Account on a ride by ride basis
- After successful registration DICE provides partner with unique Username and Password to access its Business Account via Business portal
- The partner shall appoint one or more Administrator(s) to manage Business Account and Business portal with administrator Username and Password.
- DICE and partner doesn’t have control over personal data processed as stipulated in this agreement
- DICE and partner shall adhere to all the applicable data protection laws such as application of proper technical and organizational data protection measures. DICE processes personal data as specified in DICE Privacy Policy for riders ……………..
- DICE and partner should be informed immediately about any data processing incidents or breaches pertaining to performing this agreement
- DICE and partner should render support to the request of data subjects and authorized public authorities
- The partner agrees to have a relevant legal basis to process personal data within applicable data protection laws with consent of the rider
- The rider should be informed that DICE would contact him/her prior to registration of the rider as a user and that such registration may be accompanied with direct electronic marketing messages associated with the Business Account such as promo codes and bonuses
- It is essential to notify the rider that linking of individual DICE account with Business Account shall provide partner with the access to detailed trip information about the rides charges to Business Account.
RULES OF USE OF DICE BUSINESS
Partner is responsible for providing DICE only with accurate and complete information, and for keeping such information updated at all times. Partner agrees to inform DICE immediately of any changes relating to partner selected payment option linked to Business Account that may impair DICE’s ability to charge partner pursuant to this Agreement. Partner shall limit access to Business Portal only to authorized Administrators who may not share or transfer their access privileges to any third person. Partner shall be responsible for all activity that occurs under its credentials. Subject to partner's compliance with this Agreement, DICE grants partner a royalty free, revocable, non-exclusive, non-transferable, non-assignable license, without right to sublicense, to access and use Business Portal in accordance with and throughout the term of this Agreement. Upon becoming aware of the loss or theft of the mobile device of the User, partner shall immediately deactivate the user device in Business Portal. Partner uses DICE Business solely for legitimate business purposes in accordance with this Agreement and shall not use DICE Business for unauthorized or unlawful purposes nor impair the proper operation of DICE Business. In the event that a User's personal account is suspended or terminated, such User's access to Business Account shall also be suspended. DICE reserves the right to add, remove and update features and functionality of DICE Business at any time, including to offer discounts to Passengers based on their rides made. Partner shall not authorize third persons to decompile, disassemble, reverse engineer or otherwise attempt to derive the source code or underlying technology, methodologies or algorithms related to DICE Business; misuse Business Portal by knowingly introducing viruses, Trojans, worms, logic bombs or other material which would harm the use of DICE Business in any way; circumvent, disable or otherwise interfere with any security related features of Business Portal; advocate, promote or engage in any illegal or unlawful conduct or conduct that causes damage or injury to any person or property; collect any data from Business Portal other than in accordance with Agreement.
Also, it should not submit or contribute any content that contains nudity or violence or is abusive, threatening, obscene, misleading, untrue or offensive; submit or contribute any content that partner/user does not own or has no right to use or otherwise infringe the copyright, trademark or other rights of third parties; use content in violation of any licensing terms specified by the owner; submit or contribute any information or commentary about another person to Business Portal without that person's permission; threaten, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety, or harass, upset, embarrass, alarm or annoy any other person; or use any automated system, including without limitation 'robots', 'bots', 'spiders' or 'offline readers' to access Business Portal in a manner that send more request messages to Business Portal than a human can reasonably produce in the same period of time; upcharge, increase or otherwise modify or manipulate fares as calculated through DICE App. Again, it should not impose any additional fees or charges on user, except for Ride Booker Passenger, related to the use of DICE Business. The parties should keep confidential any business, technical or financial information, including the terms and conditions of this Agreement, received from the other party in connection with this Agreement, unless the disclosing party permits in writing the requested disclosure of particular information such information is already public. The receiving party shall use confidential information solely for the purposes permitted under Agreement, the receiving party receives an administrative or judicial order, or any other request for disclosure of any confidential information, if the receiving party provided disclosing party written notice of such request allowing the disclosing party to assert any available defenses to disclosure. The receiving party shall protect the disclosing party’s confidential information in the same manner as it protects the confidentiality of its own proprietary and confidential information, but in no event using less than a reasonable standard of care.
4. Payments & refunds General
Partner shall select a method of payment for its Business Account from the list of available payment methods provided in the Business Portal, such as cash, debit/credit card, mobile wallet payments. DICE reserves the right to remove or amend the available payment methods at its sole discretion. Partner shall be liable to DICE for the payment of all fares, along with service fee, incurred by users under Business Account option, regardless of whether the user had the authorization of the partner to incur such cost. Partner agrees to pay any fines, fees, penalties, and any other charges and costs incurred by DICE, which result from user cancelling a ride, wrong parking of vehicle, or violating any other law, rule, regulation, or ordinance while using DICE Business. Partner authorizes DICE to deduct such amounts from partner’s credit card automatically (where credit card is applicable for payment method). If partner disputes any transactions charged to partner selected payment option, partner must contact DICE within 10 business days from the date of transaction. When making payments, the recipient of the payment is DICE. Partner agrees that payments to DICE may be facilitated by Flutterwave. DICE has appointed Flutterwave to respond to any complaints and settle any disputes in relation to payments made to DICE platform. Partner agrees to discuss any complaints with the Flutterwave directly. All payments are non-refundable except as may be expressly provided otherwise herein or in applicable law. Refunds shall be made to Business Account as credit which can be used for payment for future rides. Invoices are available for partner to view and download in Business Portal. During the term of this Agreement partner shall provide and maintain one or more valid credit card(s) linked with Business Account to allow DICE to charge any payments associated with the use of DICE Business as set forth in this Agreement. After user has requested a ride, DICE automatically charges from partner’s credit card an amount which equals fare due for the user’s respective ride along with service fee which is charged monthly. If automatic charge from the credit card fails, the request for the ride shall be rejected and user will be required to choose an alternative payment method available in DICE App. Partner remains liable for the payment obligation also in the event where rejection of the ride failed regardless of the circumstances that normally trigger such rejection. All payments, including service fee, shall be processed in the local currency applicable in that country. Partner’s bank may impose additional charges for partner’s use of the credit card which is neither included in fare nor service fee. Prepayments: After User has requested a ride, DICE automatically charges from Customer’s balance an amount which equals to the Fare due for the User’s respective ride along with Service Fee. If Customer has spent the prepaid balance, the request for the ride (as well as all future rides) shall be rejected and User is required to choose an alternative payment method available in DICE App. Customer remains liable for the payment obligation also in the event where rejection of the ride failed regardless of the circumstances that normally trigger such rejection. All payments, including Service Fee, shall be processed in the local currency applicable in the country of the User's given ride. Post-payments: DICE may, in its sole discretion, offer a credit limit, inclusive of Service Fee, to Customer. If Customer has spent the credit limit, the request for the ride (as well as all future rides) shall be rejected and User is required to choose an alternative payment method available in DICE App. Customer remains liable for the payment obligation also in the event where rejection of the ride failed regardless of the circumstances that normally trigger such rejection. DICE submits a monthly account statement to Customer for Service Fee and for the rides made by Users under Business Account during the previous calendar month. DICE shall make the account statement available to partner by the 14th day of the following calendar month in Business Portal. Partner shall make the payment according to the account statement within 15 days from the date of the account statement. If the payment has not been received by the due date all requests for rides of Users shall be rejected. In case partner fails to make payment by due date according to the account statement, it shall be liable to pay 0,5% interest per day from the total amount that is overdue. Partner is liable to compensate to DICE all reasonable expenses (including those charged by any debt collection agency) together with all administrative, legal and other costs incurred in the collection of any overdue payment. The minimum compensation charge for such costs is N5000. The account statement shall be provided in the currency applicable to partner’s primary address. DICE shall determine the applicable exchange rate for converting fares along with service fee for rides taken in geographies with other currencies at its reasonable discretion.
5. Liability
DICE does not offer transport services. Also, it is not a provider of transport agency service for finding riders for drivers. DICE shall not take any responsibility for the quality or the absence of defects in the provision of transport services by the drivers. As the provision and availability of transport services depends on drivers, DICE cannot and does not guarantee that the availability of drivers meets the needs of the users. DICE Business is provided on an "as is" and “as available” basis. DICE does not guarantee that access to DICE Business shall be uninterrupted or error free. In case of any faults in the software, DICE shall endeavor to correct them as soon as possible. DICE is not liable for any loss or damage that partner or user may incur as a result of using DICE Business, unless provided otherwise by law. The financial liability of DICE in connection with the latter shall be limited to N20000. DICE shall not be liable for the actions, errors or omissions of driver. DICE shall not be liable to partner or user or any other party for any costs, losses or damages caused due to inaccurate or incomplete data provided by partner. Failure to comply with the rules stipulated in this Agreement constitutes a serious breach, and provides DICE with the right (with or without notice): to immediately, temporarily, or permanently terminate partner or its user right to use Business Account and, where relevant, DICE App, and to apply and seek any other remedies available pursuant to this Agreement and applicable law. Partner is liable for all the activities of Administrators and Users. Partner shall be responsible for fares incurred in the course of unauthorized, fraudulent or other unlawful activity connected to the user's use of DICE Business. Partner shall notify DICE promptly upon discovery of any such unauthorized, fraudulent or unpermitted activity. If a user no longer qualifies for the use of DICE Business, it is the sole responsibility of the partner to remove that individual from the list of users under its Business Account. Partner remains liable for any fees incurred by the rider under Business Account before the moment of removal of such rider from the list of users. Neither party may use or reference the other party's name, logo, trademarks or service marks in a press release or otherwise without the prior consent of such other party in each instance.
Force Majeure
The non-performance of either party under Agreement shall be excused to the extent and during the period that performance is rendered impossible by strike, fire, flood, earthquakes, governmental acts or orders or restrictions, failure of suppliers, or contractors, or any other reason where failure to perform is beyond the reasonable control and not caused by the negligence of the non-performing party.
6. Term and termination
The Agreement becomes effective from the moment of successful processing of partner's signup application and remains in effect until terminated in accordance with the provisions of the Agreement. Partner may terminate Agreement at any time and for any reason by notifying DICE at least 7 days in advance. DICE may terminate Agreement at any time and for any reason by notifying partner at least 3 days in advance. All outstanding payment obligations, as well as obligations arising out of liability and confidentiality provisions of this Agreement shall survive the termination of this Agreement. DICE is entitled to terminate Agreement and block partner’s access to Business Portal without prior notice in cases where partner breaches this Agreement, any applicable laws or regulations, or harms DICE’s brand, reputation or business. DICE may also immediately block partner’s access to Business Portal for a period of investigation, if DICE suspects an infringement of Agreement or fraudulent activity associated with partner’s Business Account.
7. Final provisions
Any notice under Agreement shall be sufficiently given if delivered and deemed to have been received: if delivered personally, at the time of delivery to the party; if delivered by courier, on the date stated by the courier as being the date on which the envelope containing the notice was delivered to the party; if sent by registered mail, on the 10th day after handing the document over to the post office for delivery to the party;. if made available via Business Portal, or if sent by email, on the day the party receiving the email confirms receiving the respective e-mail or on the 2nd day following the dispatch of the email provided that the sender has not received an error notice (notifying that the email was not delivered to the party). Any changes to Agreement shall enter into force after they have been made available to partner via Business Portal or notified to contact details recorded under its Business Account. Continued use of DICE Business after changes have been notified shall constitute partner’s consent to such changes. This Agreement may not be assigned by partner, in whole or in part, without the prior written consent of DICE. Partner may assign Agreement without such consent, but with notice to DICE, in connection with a merger or a sale of all of the equity or assets of partner. Agreement may be assigned by DICE in DICE’s sole discretion. This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior communications, drafts, agreements, representations, warranties, stipulations and undertakings of whatsoever nature, whether oral or written between the parties. Agreement shall be governed by and construed and enforced in accordance with the laws of Federal Republic of Nigeria. If a dispute resulting from Agreement could not be settled by the negotiations, then the dispute shall be finally settled in Nigeria.

These Terms of Use (“Terms”) govern the access or use by you, an individual, within Nigeria of applications, websites, content, products, and services (the “Services”) made available by DICE (RC:1541433) established in Abuja, Nigeria as a mobile transportation service platform that offers differentiated transportation services to meet the needs of local Nigerian users. We prioritize your safety and take measures to give you a quality experience guarantee. However, DICE mobile applications or websites enables users to utilize technology platform to arrange and schedule transportation, logistics services and/or food delivery, package delivery services with independent third party providers under agreement DICE or its affiliates (Third Party Providers). Except otherwise agreed by DICE in separate written agreement with you, the services are made available solely for your personal, non-commercial use. YOU ACKNOWLEGDE THAT DICE DOES NOT PROVIDE TRANSPORTATION, LOGISTICS, FOOD DELIVERY OR PACKAGE DELIVERY SERVICES OR FUNCTION AS A TRANSPORTATION CARRIER AND THAT ALL SUCH SERVICES REFERENCED ARE RENDERED BY INDEPENDENT THIRD PARTY CONTRACTORS WHO ARE NOT EMPLOYED BY DICE OR ANY OF ITS AFFILIATES.
These terms and conditions ("Agreement") set forth the general terms and conditions of your use of the dice.com.ng website ("Website"), "DICE" mobile application ("Mobile Application") and any of their related products and services (collectively, "Services"). This Agreement is legally binding between you ("User", "you" or "your") and DICE ("DICE", "we", "us" or "our"). By accessing and using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "User", "you" or "your" shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Services. You acknowledge that this Agreement is a contract between you and DICE, even though it is electronic and is not physically signed by you, and it governs your use of the Services.
Accounts and membership
Eligibility to utilize the services require you must be at least 18 years of age to use the Services, or the age of legal majority in your jurisdiction (if different than 18), to obtain an Account. Account registration requires the user to submit to DICE vital personal information such as your name, physical address, mobile phone number, age and valid payment method (such as debit / credit card, cash or other accepted payment option). You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access and use the Services or DICE termination of these Terms with you. By using the Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Services, you are responsible for maintaining the security and secrecy of your account username and password at all times, agree to maintain accurate, complete, and up-to-date account information in your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. Except permitted by DICE in writing, you may only possess one account. Also, your failure to maintain accurate, complete, and up-to-date account information such as having invalid or expired payment method on file, providing false contact information of any kind can preempt your inability to access and use the services or DICE termination of your account.
The Service is not eligible for use by persons under the age of 18. You shouldn’t authorize third parties to use your Account, and you may not allow persons under the age of 18 to receive transportation or logistics services from Third Party Providers unless they are accompanied by you. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Provider or any other party. In certain instances you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.
Opt-out Messaging
The creation of account, you agree that the services may disseminate text messages (SMS) as part of the business procedure of your use of the services. You may opt-out of receiving text messages (SMS) from DICE at any time using the link https://www.dice.com.ng/unsubscribe/. You acknowledge that opting out of receiving text messages may impact your use of the services.
We may monitor and review new accounts before you may sign in and start using the Services. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.
Promotional Campaign
DICE have the veto to create promotional codes that may be redeemed for account credit, or related features or benefits to the Services and/or a Third Party Provider’s services, subject to any additional terms that DICE establishes on a per promotional code basis. You agree to adhere that Promo Codes: (1) must be used for the intended audience and purpose, and in a lawful manner; (2) no duplication, sell or transfer in any manner, or made available to the general public (either posted to a public form or otherwise), unless expressly authorized by DICE; (3) may be disabled by DICE at any time for any reason without liability to DICE; (4) may only be used pursuant to the specific terms that DICE establishes for such Promo Code; (5) not valid for cash transaction; and (6) the promo code may expire prior to your use. DICE reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that DICE determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.
Network Access and Devices.
You are responsible for obtaining the data network access and sufficient data credit necessary to use the Services. Your mobile network’s data and messaging rates and fees may apply if you access or use the Services from a wireless-enabled device and you shall be responsible for such rates and fees. You are responsible for acquiring and updating compatible hardware or devices necessary to access and use the Services and Applications and any updates thereto. DICE does not guarantee that the Services, or any portion thereof, will function on any particular hardware or devices. In addition, the Services may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
Adult content
Please be aware that there may be certain adult or mature content available on the Services. A warning will be shown to the User prior to adult content being displayed. Where there is mature or adult content, individuals who are less than 18 years of age or are not permitted to access such content under the laws of any applicable jurisdiction may not access such content. If we learn that anyone under the age of 18 seeks to conduct a transaction through the Services, we will require verified parental consent, in accordance with the Children's Online Privacy Protection Act of 1998 ("COPPA"). Certain areas of the Services may not be available to children under 18 under any circumstances.
Billing and payments
To facilitate payment while using the DICE app, the user can decide if he/she prefers to make payment using cash, debit/credit card or mobile wallet. Once a specific payment option has been selected, the user cannot modify it. You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Payment of the Charges in such manner shall be considered the same as payment made directly by you to the Third Party Provider. Charges may include other applicable fees, tolls, and/or surcharges including a booking fee, national, provincial and municipal tolls, airport surcharges and processing fees for split payments, and will be inclusive of applicable taxes where required by law. Charges paid by you are final and non-refundable, unless otherwise determined by DICE.
Sensitive and private data exchange happens over a SSL secured communication channel and is encrypted and protected with digital signatures, and the Services are also in compliance with PCI vulnerability standards in order to create as secure of an environment as possible for Users. Scans for malware are performed on a regular basis for additional security and protection. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products and product pricing at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
As between you and DICE, DICE reserves the right to establish, remove and/or revise Charges for any or all services or goods obtained through the use of the Services at any time in DICE’s sole discretion. Further, you acknowledge and agree that Charges applicable in certain geographical areas may increase substantially during times of high demand. DICE will use reasonable efforts to inform you of Charges that may apply, provided that you will be responsible for Charges incurred under your Account regardless of your awareness of such Charges or the amounts thereof. DICE may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you. You may elect to cancel your request for services or goods from a Third Party Provider at any time prior to such Third Party Provider’s arrival, in which case you may be charged a cancellation fee.
Repairs or Cleaning Fees
You shall be responsible for the cost of repair for damage to, or necessary cleaning of, Third Party Provider vehicles and property resulting from use of the Services under your Account in excess of normal “wear and tear” damages and necessary cleaning such as vomiting, littering the vehicle, stain of food (“Repair or Cleaning”). In the event that a Third Party Provider reports the need for Repair or Cleaning, and such Repair or Cleaning request is verified by DICE in DICE’s reasonable discretion, DICE reserves the right to facilitate payment for the reasonable cost of such Repair or Cleaning on behalf of the Third Party Provider using your payment method designated in your Account. Such amounts will be transferred by DICE to the applicable Third Party Provider and are non-refundable.
Accuracy of information
Occasionally there may be information on the Services that contains typographical errors, inaccuracies or omissions that may relate to promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Services or Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Services including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Services should be taken to indicate that all information on the Services or Services has been modified or updated.
Uptime guarantee
We offer a Service uptime guarantee of 99% of available time per month. If we fail to maintain this service uptime guarantee in a particular month (as solely determined by us), you may contact us and request a credit off your Service fee for that month. The credit may be used only for the purchase of further products and services from us, and is exclusive of any applicable taxes. The service uptime guarantee does not apply to service interruptions caused by: (1) periodic scheduled maintenance or repairs we may undertake from time to time; (2) interruptions caused by you or your activities; (3) outages that do not affect core Service functionality; (4) causes beyond our control or that are not reasonably foreseeable; and (5) outages related to the reliability of certain programming environments; (6) outages related to insufficient data credit; (7) downtime due to network service provider.
Advertisements
During your use of the Services, you may enter into correspondence with or participate in promotions of advertisers or sponsors showing their goods or services through the Services. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third party. We shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party.

Although the Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. Prohibited uses
In addition to other terms as set forth in the Agreement, you are prohibited from using the Services or Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Services, third party products and services, or the Internet. We reserve the right to terminate your use of the Services for violating any of the prohibited uses.
Intellectual property rights
"Intellectual Property Rights" means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by DICE or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with DICE. All trademarks, service marks, graphics and logos used in connection with the Services, are trademarks or registered trademarks of DICE or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of DICE or third party trademarks.
Disclaimer of warranty
You agree that such Service is provided on an "as is" and "as available" basis and that your use of the Services is solely at your own risk. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Service is done at your own discretion and risk and that you will be solely responsible for any damage or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service unless stated otherwise. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly made herein.
Limitation of liability
To the fullest extent permitted by applicable law, in no event will DICE, its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of DICE and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to DICE for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.
DICE shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost data, personal injury or property damage related to, in connection with, or otherwise resulting from any use of the services, even if DICE has been advised of the possibility of such damages. DICE shall not be liable for any damages, liability or losses arising out of: (i) your use of or reliance on the services or your inability to access or use the services; or (ii) any transaction or relationship between you and any third party provider, even if DICE has been advised of the possibility of such damages. DICE shall not be liable for delay or failure in performance resulting from causes beyond DICE’s reasonable control. You acknowledge that third party transportation providers providing transportation services requested through some request brands may offer ridesharing or peer-to-peer transportation services and may not be professionally licensed or permitted.
Indemnification
You agree to indemnify and hold DICE and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys' fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Services or any willful misconduct on your part, your breach or violation of any of these Terms, DICE use of your user content or violation of the right of any third party including Third Party Providers.
Lost Property
You understand and agree that it is your responsibility to ensure that you remove your property from the vehicle of a Third Party Provider when disembarking. Should you leave your property in the vehicle of a Third Party Provider, the Third Party Provider may hand over your property to you, DICE or to the DICE local service representative.
Whilst you may expect Third Party Providers to hand over your property to you, the offices of DICE or the DICE local service representative, DICE or the DICE local service representative shall not be held liable in the event of the Third Party Provider not handing over your property as expected. Moreover, DICE or the DICE local service entity shall not be liable for the loss or damage to your property whilst it is in transit.
Whilst DICE or the DICE local service representative will take reasonable steps to establish the owner of property left in a Third Party Provider’s vehicle if returned to the offices of DICE or the DICE local service entity, when your property is in DICE or the DICE local service representative possession, you understand and agree that: (i) DICE or the DICE local service representative will only keep your property in its possession for a maximum period of three months from the date on which the Third Party Provider handed your property to DICE or the DICE local service representative; and (ii) should you fail to collect your property from DICE or the DICE local service representative before the expiry of the three month period stipulated, DICE or the DICE local service representative will be entitled to deal with your property as it deems fit and you shall have no claim whatsoever against DICE or the DICE local service representative in respect of your unclaimed property.
Severability
All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
Governing Law
This terms and condition is governed by the laws of Nigeria without regards to its conflict of laws provision. You consent to the exclusive jurisdiction of the courts in connection with any action or dispute arising between the parties under or in connection with this Privacy Policy except for those individuals who may have rights to made claims under Privacy shield.
The laws of Nigeria excluding its conflicts of law rules, shall govern this Agreement and your use of the website. Your use of the website may also be subject to other local, State, national or international laws.
By using DICE or contacting us directly, you signify your acceptance of this Privacy Policy. If you do not agree to this Privacy Policy, you should not engage with our website, or use our services. Continued use of the website, direct engagement with us or following the posting of charges to this Privacy Policy that do not significantly affect the use or disclosure of your personal information will mean that you accept those changes.
Dispute resolution
The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Nigeria without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Nigeria. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Nigeria, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Third-Party services and links thereto are provided thereto are provided solely as a convenience to you and you access and use them entirely at your own risk and subject to such third parties terms and conditions.
Facebook Pixel
Facebook pixel is an analytics tool that allows you to measure the effectiveness of your advertising by understanding the actions people take on your website. You can use the pixel to: Make sure your ads are shown to the right people. Facebook pixel may collect information from your device when you use the service. Facebook pixel collects information that is held in accordance with its Privacy Policy.
Changes and amendments
We reserve the right to modify this Agreement or its terms relating to the Services at any time, effective upon posting of an updated version of this Agreement on the Services. When we do, we will post a notification within the Services. Continued use of the Services after any such changes shall constitute your consent to such changes.
Acceptance of these terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Services.

Terms and Conditions for DICE Business
Drive Interested Customer Everywhere (trading as DICE) located at Abuja, Nigeria with RC: 1541433 is a mobile transportation service platform that offers differentiated transportation services to meet the needs of local Nigerian users.
DICE Business is the service for business partners and payment for the rides taken by the riders authorized by the management. This notice specifically applies to:
- Riders: individuals who request or receive transportation, including those who receive transportation requested by another individual
- Drivers: individuals who provide transportation to Riders individually or through partner transportation companies
- Administrator: an individual appointed by the partner to administer the Business account such as register and remove users, view and edit user information, user group and their rights
Set-up of Business Account
To facilitate using the DICE Business partner must sign-up for Business Account by providing requisite information in the Business portal.
Type of data DICE receives
We receive employee first names, last names, and company-issued email addresses. We may also receive expense codes and employee IDs if you opt to include that information. The partner/rider should abide and accept these Terms & Conditions authorized to bind partner to this agreement. The Business Account allows partner to register riders as users, which enables riders to utilize DICE Business as specified by the partner and DICE. However, the partner acknowledges and agrees that only riders that fulfill these criteria are eligible to use DICE Business as users:
- Rider has active personal DICE account
- Rider has confirmed their mobile number provided during the registration process
- Individual DICE account of the rider has not been blocked, suspended or terminated due to violation of DICE Terms and Conditions for riders
- To facilitate registration as a user, the partner should upload requisite information of rider to Business portal
- The rider invited to use DICE Business shall be linked automatically with Business Account for partner payments and be provided the option to settle fares either through rider’s personal account or partner’s Business Account on a ride by ride basis
- After successful registration DICE provides partner with unique Username and Password to access its Business Account via Business portal
- The partner shall appoint one or more Administrator(s) to manage Business Account and Business portal with administrator Username and Password.
- DICE and partner doesn’t have control over personal data processed as stipulated in this agreement
- DICE and partner shall adhere to all the applicable data protection laws such as application of proper technical and organizational data protection measures. DICE processes personal data as specified in DICE Privacy Policy for riders ……………..
- DICE and partner should be informed immediately about any data processing incidents or breaches pertaining to performing this agreement
- DICE and partner should render support to the request of data subjects and authorized public authorities
- The partner agrees to have a relevant legal basis to process personal data within applicable data protection laws with consent of the rider
- The rider should be informed that DICE would contact him/her prior to registration of the rider as a user and that such registration may be accompanied with direct electronic marketing messages associated with the Business Account such as promo codes and bonuses
- It is essential to notify the rider that linking of individual DICE account with Business Account shall provide partner with the access to detailed trip information about the rides charges to Business Account.
RULES OF USE OF DICE BUSINESS
Partner is responsible for providing DICE only with accurate and complete information, and for keeping such information updated at all times. Partner agrees to inform DICE immediately of any changes relating to partner selected payment option linked to Business Account that may impair DICE’s ability to charge partner pursuant to this Agreement. Partner shall limit access to Business Portal only to authorized Administrators who may not share or transfer their access privileges to any third person. Partner shall be responsible for all activity that occurs under its credentials. Subject to partner's compliance with this Agreement, DICE grants partner a royalty free, revocable, non-exclusive, non-transferable, non-assignable license, without right to sublicense, to access and use Business Portal in accordance with and throughout the term of this Agreement. Upon becoming aware of the loss or theft of the mobile device of the User, partner shall immediately deactivate the user device in Business Portal. Partner uses DICE Business solely for legitimate business purposes in accordance with this Agreement and shall not use DICE Business for unauthorized or unlawful purposes nor impair the proper operation of DICE Business. In the event that a User's personal account is suspended or terminated, such User's access to Business Account shall also be suspended. DICE reserves the right to add, remove and update features and functionality of DICE Business at any time, including to offer discounts to Passengers based on their rides made. Partner shall not authorize third persons to decompile, disassemble, reverse engineer or otherwise attempt to derive the source code or underlying technology, methodologies or algorithms related to DICE Business; misuse Business Portal by knowingly introducing viruses, Trojans, worms, logic bombs or other material which would harm the use of DICE Business in any way; circumvent, disable or otherwise interfere with any security related features of Business Portal; advocate, promote or engage in any illegal or unlawful conduct or conduct that causes damage or injury to any person or property; collect any data from Business Portal other than in accordance with Agreement.
Also, it should not submit or contribute any content that contains nudity or violence or is abusive, threatening, obscene, misleading, untrue or offensive; submit or contribute any content that partner/user does not own or has no right to use or otherwise infringe the copyright, trademark or other rights of third parties; use content in violation of any licensing terms specified by the owner; submit or contribute any information or commentary about another person to Business Portal without that person's permission; threaten, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety, or harass, upset, embarrass, alarm or annoy any other person; or use any automated system, including without limitation 'robots', 'bots', 'spiders' or 'offline readers' to access Business Portal in a manner that send more request messages to Business Portal than a human can reasonably produce in the same period of time; upcharge, increase or otherwise modify or manipulate fares as calculated through DICE App. Again, it should not impose any additional fees or charges on user, except for Ride Booker Passenger, related to the use of DICE Business. The parties should keep confidential any business, technical or financial information, including the terms and conditions of this Agreement, received from the other party in connection with this Agreement, unless the disclosing party permits in writing the requested disclosure of particular information such information is already public. The receiving party shall use confidential information solely for the purposes permitted under Agreement, the receiving party receives an administrative or judicial order, or any other request for disclosure of any confidential information, if the receiving party provided disclosing party written notice of such request allowing the disclosing party to assert any available defenses to disclosure. The receiving party shall protect the disclosing party’s confidential information in the same manner as it protects the confidentiality of its own proprietary and confidential information, but in no event using less than a reasonable standard of care.
4. Payments & refunds General
Partner shall select a method of payment for its Business Account from the list of available payment methods provided in the Business Portal, such as cash, debit/credit card, mobile wallet payments. DICE reserves the right to remove or amend the available payment methods at its sole discretion. Partner shall be liable to DICE for the payment of all fares, along with service fee, incurred by users under Business Account option, regardless of whether the user had the authorization of the partner to incur such cost. Partner agrees to pay any fines, fees, penalties, and any other charges and costs incurred by DICE, which result from user cancelling a ride, wrong parking of vehicle, or violating any other law, rule, regulation, or ordinance while using DICE Business. Partner authorizes DICE to deduct such amounts from partner’s credit card automatically (where credit card is applicable for payment method). If partner disputes any transactions charged to partner selected payment option, partner must contact DICE within 10 business days from the date of transaction. When making payments, the recipient of the payment is DICE. Partner agrees that payments to DICE may be facilitated by Flutterwave. DICE has appointed Flutterwave to respond to any complaints and settle any disputes in relation to payments made to DICE platform. Partner agrees to discuss any complaints with the Flutterwave directly. All payments are non-refundable except as may be expressly provided otherwise herein or in applicable law. Refunds shall be made to Business Account as credit which can be used for payment for future rides. Invoices are available for partner to view and download in Business Portal. During the term of this Agreement partner shall provide and maintain one or more valid credit card(s) linked with Business Account to allow DICE to charge any payments associated with the use of DICE Business as set forth in this Agreement. After user has requested a ride, DICE automatically charges from partner’s credit card an amount which equals fare due for the user’s respective ride along with service fee which is charged monthly. If automatic charge from the credit card fails, the request for the ride shall be rejected and user will be required to choose an alternative payment method available in DICE App. Partner remains liable for the payment obligation also in the event where rejection of the ride failed regardless of the circumstances that normally trigger such rejection. All payments, including service fee, shall be processed in the local currency applicable in that country. Partner’s bank may impose additional charges for partner’s use of the credit card which is neither included in fare nor service fee. Prepayments: After User has requested a ride, DICE automatically charges from Customer’s balance an amount which equals to the Fare due for the User’s respective ride along with Service Fee. If Customer has spent the prepaid balance, the request for the ride (as well as all future rides) shall be rejected and User is required to choose an alternative payment method available in DICE App. Customer remains liable for the payment obligation also in the event where rejection of the ride failed regardless of the circumstances that normally trigger such rejection. All payments, including Service Fee, shall be processed in the local currency applicable in the country of the User's given ride. Post-payments: DICE may, in its sole discretion, offer a credit limit, inclusive of Service Fee, to Customer. If Customer has spent the credit limit, the request for the ride (as well as all future rides) shall be rejected and User is required to choose an alternative payment method available in DICE App. Customer remains liable for the payment obligation also in the event where rejection of the ride failed regardless of the circumstances that normally trigger such rejection. DICE submits a monthly account statement to Customer for Service Fee and for the rides made by Users under Business Account during the previous calendar month. DICE shall make the account statement available to partner by the 14th day of the following calendar month in Business Portal. Partner shall make the payment according to the account statement within 15 days from the date of the account statement. If the payment has not been received by the due date all requests for rides of Users shall be rejected. In case partner fails to make payment by due date according to the account statement, it shall be liable to pay 0,5% interest per day from the total amount that is overdue. Partner is liable to compensate to DICE all reasonable expenses (including those charged by any debt collection agency) together with all administrative, legal and other costs incurred in the collection of any overdue payment. The minimum compensation charge for such costs is N5000. The account statement shall be provided in the currency applicable to partner’s primary address. DICE shall determine the applicable exchange rate for converting fares along with service fee for rides taken in geographies with other currencies at its reasonable discretion.
5. Liability
DICE does not offer transport services. Also, it is not a provider of transport agency service for finding riders for drivers. DICE shall not take any responsibility for the quality or the absence of defects in the provision of transport services by the drivers. As the provision and availability of transport services depends on drivers, DICE cannot and does not guarantee that the availability of drivers meets the needs of the users. DICE Business is provided on an "as is" and “as available” basis. DICE does not guarantee that access to DICE Business shall be uninterrupted or error free. In case of any faults in the software, DICE shall endeavor to correct them as soon as possible. DICE is not liable for any loss or damage that partner or user may incur as a result of using DICE Business, unless provided otherwise by law. The financial liability of DICE in connection with the latter shall be limited to N20000. DICE shall not be liable for the actions, errors or omissions of driver. DICE shall not be liable to partner or user or any other party for any costs, losses or damages caused due to inaccurate or incomplete data provided by partner. Failure to comply with the rules stipulated in this Agreement constitutes a serious breach, and provides DICE with the right (with or without notice): to immediately, temporarily, or permanently terminate partner or its user right to use Business Account and, where relevant, DICE App, and to apply and seek any other remedies available pursuant to this Agreement and applicable law. Partner is liable for all the activities of Administrators and Users. Partner shall be responsible for fares incurred in the course of unauthorized, fraudulent or other unlawful activity connected to the user's use of DICE Business. Partner shall notify DICE promptly upon discovery of any such unauthorized, fraudulent or unpermitted activity. If a user no longer qualifies for the use of DICE Business, it is the sole responsibility of the partner to remove that individual from the list of users under its Business Account. Partner remains liable for any fees incurred by the rider under Business Account before the moment of removal of such rider from the list of users. Neither party may use or reference the other party's name, logo, trademarks or service marks in a press release or otherwise without the prior consent of such other party in each instance.
Force Majeure
The non-performance of either party under Agreement shall be excused to the extent and during the period that performance is rendered impossible by strike, fire, flood, earthquakes, governmental acts or orders or restrictions, failure of suppliers, or contractors, or any other reason where failure to perform is beyond the reasonable control and not caused by the negligence of the non-performing party.
6. Term and termination
The Agreement becomes effective from the moment of successful processing of partner's signup application and remains in effect until terminated in accordance with the provisions of the Agreement. Partner may terminate Agreement at any time and for any reason by notifying DICE at least 7 days in advance. DICE may terminate Agreement at any time and for any reason by notifying partner at least 3 days in advance. All outstanding payment obligations, as well as obligations arising out of liability and confidentiality provisions of this Agreement shall survive the termination of this Agreement. DICE is entitled to terminate Agreement and block partner’s access to Business Portal without prior notice in cases where partner breaches this Agreement, any applicable laws or regulations, or harms DICE’s brand, reputation or business. DICE may also immediately block partner’s access to Business Portal for a period of investigation, if DICE suspects an infringement of Agreement or fraudulent activity associated with partner’s Business Account.
7. Final provisions
Any notice under Agreement shall be sufficiently given if delivered and deemed to have been received: if delivered personally, at the time of delivery to the party; if delivered by courier, on the date stated by the courier as being the date on which the envelope containing the notice was delivered to the party; if sent by registered mail, on the 10th day after handing the document over to the post office for delivery to the party;. if made available via Business Portal, or if sent by email, on the day the party receiving the email confirms receiving the respective e-mail or on the 2nd day following the dispatch of the email provided that the sender has not received an error notice (notifying that the email was not delivered to the party). Any changes to Agreement shall enter into force after they have been made available to partner via Business Portal or notified to contact details recorded under its Business Account. Continued use of DICE Business after changes have been notified shall constitute partner’s consent to such changes. This Agreement may not be assigned by partner, in whole or in part, without the prior written consent of DICE. Partner may assign Agreement without such consent, but with notice to DICE, in connection with a merger or a sale of all of the equity or assets of partner. Agreement may be assigned by DICE in DICE’s sole discretion. This Agreement constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior communications, drafts, agreements, representations, warranties, stipulations and undertakings of whatsoever nature, whether oral or written between the parties. Agreement shall be governed by and construed and enforced in accordance with the laws of Federal Republic of Nigeria. If a dispute resulting from Agreement could not be settled by the negotiations, then the dispute shall be finally settled in Nigeria.

We receive employee names and email addresses when you:
- Add employees from business.DICE.com, either manually or through a CSV upload
- Automate adding employees through Secure File Transfer Protocol (SFTP) data automation. For more information on the SFTP process, visit our help page.

The data received from you allows your employees to connect your business account with their personal DICE account. This allows company admins to easily manage expenses and view data regarding trips taken by employees using the business account.
